NEWS CORP POLITICAL ACTIVITIES

Where permitted by law, may contribute directly to state or local candidates, political party committees, political committees, (e.g. PACs) or other political organizations exempt from federal income taxes under Section 527 of the Internal Revenue Code. does not make payments to entities that are earmarked to be used for independent expenditures for a candidate, political party or to ballot measure committees. All corporate political contributions must be approved in advance by ’s Executive Vice President and Global Head of Government Affairs and align with ’s business or community interests, not those of any individual officer or executive.

NEWS CORPORATION PAC

The government plays a significant role in how our business operates. From online advertising to intellectual property protection, legislators at both the state and federal levels have proposed numerous changes in public policy in these areas — some of which would help our industry, and some of which would limit our ability to achieve our goals. is active in the public policy process protecting the interests of our employees and stockholders. ’s Political Action Committee (the “oration PAC“) is an integral component of our government relations strategy, which also includes participation in trade associations and direct lobbying. These three elements work together to carry our message to Congress and to state and local office holders. The oration PAC is a non-partisan political action committee. Its focus is helping to elect quality men and women, regardless of political party, who are dedicated to providing leadership in public service and promoting sound public policy. oration PAC is funded by voluntary contributions from eligible employees of the Company, and is used to make contributions at the federal level and in states where allowed.

NEWS CORPORATION PAC MANAGEMENT

The Chair, Treasurer, Assistant Treasurer and Secretary are responsible for the day-to-day activities of the oration PAC. These officers are responsible for the solicitation of contributions to and the disbursement of funds from the PAC, consistent with state and federal law. All oration PAC activities are reviewed by outside counsel.

HOW ARE CONTRIBUTIONS TO CANDIDATES DECIDED?

Decisions regarding corporate and oration PAC contributions are made on a non-partisan basis to support candidates, regardless of party affiliation, based on criteria that include, but are not limited to:

  • Positions on Company and industry issues;
  • Areas of focus;
  • Knowledge of , our programs, and policies
  • Voting record on issues important to the Company and our industry; and
  • Representation of facilities and employees.

INDIVIDUAL POLITICAL CONTRIBUTIONS & ACTIVITIES

Employees are welcome to engage in the political process in any way allowable by law, including but not limited to donating money to the candidates of their choice and volunteering on campaigns. Individuals may contact their elected representatives for any personal reason. It should always be clear to outside observers that these are personal actions and not actions taken on behalf of or its business units.

TRADE ASSOCIATION MEMBERSHIP

and its business units maintain membership in relevant industry trade organizations to advance the Company’s commercial and policy objectives. Although these groups represent multiple members and thus may not always align with our positions, we believe that on balance, ’s participation in these organizations provides great value.

NEWS CORP LOBBYING ACTIVITIES

engages in lobbying activity on important public policy issues at the federal and state levels through the work of Company employees and its outside consultants. We believe that by communicating with government officials, we help improve policy in a way that benefits the Company and its stockholders. ’s Executive Vice President and Global Head of Government Affairs is responsible for managing the Company’s lobbying activities.
